Our Company

Asset Management One USA Inc. (“AM-One USA”) was established in July 1994 under the name Dai-ichi Life Investment Management (USA) Inc. At inception, AM-One USA was wholly owned by Dai-ichi Life Insurance, a large Japanese insurance company that has offices worldwide.  Over time, AM-One USA’s ultimate ownership changed to the joint ownership by Mizuho Financial Group, Inc. (“MHFG”) and Daiichi Life Group, Inc. (“Daiichi Life Group”) as the two companies expanded their collaboration in the asset management field.

 

AM-One USA is a diversified asset , located in New York. AM-One USA professionals provide both discretionary investment advisory and various types of non-discretionary advisory services to institutional clients across the following four business lines:

Organization and Ownership

On January 1, 2020, AM-One USA was integrated with Mizuho Alternative Investments, LLC, a quantitative specialist alternatives asset management firm owned by the Mizuho Financial Group Inc.

 

AM-One USA is owned by Mizuho Americas LLC (“MALLC”) and Daiichi Life Group. MALLC is MHFG’s U.S. bank holding company and is wholly owned by Mizuho Bank, Ltd.

AM-One USA conducts its advisory business under the name of Asset Management One and collaborates with AM-One pursuant to collaboration agreements entered into among MALLC, AM-One JAPAN, and AM-One USA to coordinate and further asset management business opportunities for the Asset Management One Group.

Asset Management One USA Inc. (“AM-One USA”) is a U.S. based affiliate of Asset Management One Co., Ltd. (“AM-One JAPAN”), a global investment management group headquartered in Tokyo, Japan and is part of the Mizuho Financial Group and Daiichi Life Group.

 

Prior to April 1, 2024, AM-One USA was a wholly owned subsidiary of AM-One JAPAN, of which 70% economic interests and 51% voting rights are owned by Mizuho Financial Group Inc. (“MHFG”) and 30% economic interests and 49% voting rights by Daiichi Life Group, Inc.(former Dai-Ichi Life Holdings, Inc., “Dai-ichi Holdings”), respectively. Effective April 1, 2024, MHFG’s indirect share of ownership of AM-One USA was transferred to Mizuho Americas LLC (“MALLC”) and the remaining ownership was transferred to Dai-ichi Life Holdings. MALLC is MHFG’s U.S. bank holding company, and is wholly owned by MHFG’s direct subsidiary, Mizuho Bank, Ltd.  The ownership restructure of AM-One USA was a result of MHFG’s intention of designating MALLC as its U.S. intermediate holding company. AM-One USA continues engaging in advisory business under the name of Asset Management One and collaborates with AM-One JAPAN as agreed in three sets of collaboration agreements entered into among MALLC, AM-One JAPAN, and AM-One USA (collectively, the “AM-One Collaboration Agreements”) to coordinate and further asset management business opportunities for the Asset Management One Group (the “AM-One Group”). AM-One USA is also affiliated with Asset Management One International Ltd., Asset Management One Hong Kong Limited, and Asset Management One Alternative Investments, Ltd. which are direct subsidiaries of AM-One JAPAN. MHFG and Dai-ichi Holdings and their affiliates are involved in a broad spectrum of financial services. Because of the wide range of services offered by MHFG, Dai-ichi Holdings  and their affiliates, it is possible that conflicts may arise. Any such conflicts will be dealt with and remediated, to the extent possible, by AM-One USA’s relevant policies and procedures.

AM-One USA has entered into the AM-One Collaboration Agreement with AM-One JAPAN and MALLC whereby AM-One USA and AM-One JAPAN collaborate and share certain information with each other for the purpose of furthering AM-One Group’s global asset management business in a manner consistent with AM-One Group’s business principles. AM-One USA and AM-One JAPAN do not share information regarding their respective investment recommendations, trades, trading plans, or positions that are not disclosed to their respective clients, except the cases where AM-One USA acts as sub-adviser to AM-One JAPAN or vice versa, and any other information that would cause a conflict of interest with their respective clients, or any information, the disclosure of which would violate AM-One USA and AM-One JAPAN’s fiduciary or confidential obligations to their respective clients. However, the collaborative relationship and information sharing associated with the relationship may create potential conflicts of interest. AM-One USA has implemented policies, procedures and controls to mitigate and manage such conflicts and risks.

AM-One USA and AM-One JAPAN have a collaborative arrangement whereby they jointly research, design, develop and maintain proprietary algorithms or outputs of such algorithms for their quantitative investment strategies and infrastructure design (collectively, the “AM-One IP”), supporting IT infrastructure, as well as sourcing, analyzing and monitoring third party quantitative strategies. AM-One USA and AM-One JAPAN jointly own, manage, and share AM-One IP and supporting IT infrastructure (together with AM-One IP, the “Global Quantitative Platform”). The Global Quantitative Platform is accessed and maintained by designated personnel of AM-One USA and AM-One JAPAN. Neither AM-One USA or AM-One JAPAN charges any additional fees or expenses to their clients or investors in relation to the collaborative arrangement. Notwithstanding the foregoing, AM-One USA and AM-One JAPAN may derive various non-monetary benefits by using the collaborative arrangement such as information and business relationship advantage and potentially increased businesses within the Asset Management One Group. Furthermore, AM-One USA and AM-One JAPAN share the fees paid to them by advisory and non-advisory licensing clients for the products and services based on AM-One IP.  In addition, in certain circumstances AM-One USA and AM-One JAPAN may enter into a sub-advisory agreement by which AM-One JAPAN delegates some or all of its responsibilities to AM-One USA, or vice versa. The collaborative arrangement may result in AM-One JAPAN’s access to certain information with regard to the quantitative investment strategies ahead of other AM-One USA’s clients or investors, or vice versa.
